Licence Agreement & Terms of Sale

This page contains two documents. Part A is the End-User Licence Agreement (EULA) — the terms on which you may use MikroTik Manager. Part B is the Terms of Sale — how a purchase is made, invoiced and, where applicable, withdrawn from. By installing, running or purchasing the Software you accept both.

In these documents, “we” and “the Licensor” mean the entity above; “you” and “the Licensee” mean the person or organisation that installs, runs or purchases the Software; “the Software” means MikroTik Manager, the self-hosted application distributed as a Docker container image, together with its documentation and any updates supplied under a valid licence.

Part A — End-User Licence Agreement

A1. Grant of licence

Subject to your compliance with this Agreement and, for paid tiers, to payment in full, we grant you a non-exclusive, non-transferable, worldwide, perpetual licence to install and run the Software for your own business or private purposes, within the device limit of your tier.

The Software is licensed, not sold. Ownership of the Software, including all intellectual property rights in it, remains with the Licensor.

The table lists the tiers offered publicly. We may issue individual licences on other terms — for example evaluation, training or partner licences with a different device limit or a different update entitlement. Where an individually issued licence states terms different from this Section or Section A6, the terms stated in that licence prevail.

One licence covers one running instance — a single container. Running additional instances requires an additional licence for each. The device limit counts devices registered in that instance.

All tiers carry the same functionality. There is no feature gating between tiers; the tier determines the device limit only.

The Community tier is provided free of charge under this same Agreement, save that Sections A6 (Updates) and B (Terms of Sale) do not apply to it, and that it is provided with no support commitment of any kind. The Community tier is a free licence to use the Software; it is not an open-source grant and confers no rights to the source code.

A3. What you may do

  • Install and run the Software on infrastructure you control, on premises or on hosting of your choice.
  • Use the Software to manage devices belonging to your organisation.
  • Use the Software to manage devices belonging to your clients, as a managed service provider, systems integrator or contractor — provided that the total number of managed devices stays within the device limit of your tier, and that your clients receive access to the Software’s interface only through you, as part of a service you provide. This does not permit you to resell, sublicense or redistribute the Software itself; see Section A4.
  • Move your installation to another host. The licence key is tied to your licence, not to a machine — re-enter it on the new host.
  • Make backups of your installation, its database and its configuration.

A4. What you may not do

  • Resell, redistribute, sublicense, rent, lease, lend or otherwise transfer the Software or a licence key to a third party, except with our prior written consent. Resellers are welcome — write to ihor@hreskiv.pl and we will set it up.
  • Offer the Software itself to third parties as a hosted product, multi-tenant service or white-label platform. Managing a client’s devices as a service (Section A3) is permitted; operating the Software as a product for others to subscribe to is not.
  • Circumvent, disable, remove or tamper with the licensing mechanism or the device limit, or use a licence key you did not lawfully obtain.
  • Reverse-engineer, decompile or disassemble the Software, except to the extent such restriction is expressly prohibited by applicable law (in particular Art. 75 of the Polish Copyright Act and Art. 6 of Directive 2009/24/EC on interoperability).
  • Remove or alter any copyright, trademark or licensing notices in the Software.
  • Publish benchmark or comparative test results of the Software without giving us a prior opportunity to comment on the methodology.

A5. Licence keys and validation

A paid licence is delivered as a licence key sent to the e-mail address given at checkout. The key is validated locally by your installation; there is no phone-home and no outbound licence check. Keep the key: it is what proves your licence, and it is what you re-enter after a reinstall or a migration.

We can re-issue a key that has been lost, on request from the e-mail address associated with the purchase. We cannot re-issue a key to anyone else.

A6. Updates

Each paid licence purchased through mikr.app includes 12 months of updates from the date of purchase. During that period you may install every version of the Software we release. Individually issued licences may carry a longer or unlimited update entitlement; where they do, that entitlement is stated in the licence itself and prevails over this Section.

After 12 months, updates become optional and are offered as an annual renewal — €39/year for License 30, €49/year for License 50, €99/year for Unlimited. Renewal is not required. If you do not renew, the last version you were entitled to keeps working, perpetually, with no restrictions and no loss of functionality. You simply stop receiving new versions until you renew.

We do not commit to any particular release cadence, feature or roadmap item. Statements about future development, including on our roadmap page, are indications of intent and not contractual commitments.

A7. Upgrading a tier

You may move to a higher tier at any time and pay only the difference between the tiers: License 30 → 50 is €50, License 50 → Unlimited is €250, License 30 → Unlimited is €300. On upgrade, any remaining time on your update entitlement is preserved and the entitlement is renewed for 12 months from the date of the upgrade.

A8. Your data and your network

The Software is self-hosted. Device credentials, configuration backups, logs and all other operational data are stored exclusively inside your own installation. We do not receive, transmit or store any of it.

The Software does make a small number of outbound requests to public services. They are listed here in full, together with what each one discloses:

opencellid.org Resolving an LTE cell to an approximate location Cell identifiers read from your device (MCC, MNC, LAC, cell ID) and your own OpenCelliD API key. Off unless you turn it on: nothing is sent until you enter an OpenCelliD API key in settings, and removing the key stops it.

None of these requests carry device credentials, configuration data, backups or logs. Apart from them, the Software makes no outbound connections — there is no telemetry, no usage reporting and no licence check. It degrades gracefully when these services are unreachable, including in air-gapped environments.

You are responsible for the security of your installation: the host it runs on, the accounts that can reach it, the credentials you store in it, and your backups. The Software encrypts device passwords at rest, but it cannot protect an installation whose host or administrator account is compromised. Note in particular that losing the data/.secrets.json file makes encrypted device passwords unrecoverable.

A9. Warranty

We warrant that the Software will perform substantially as described in its documentation. Beyond that, and to the fullest extent permitted by applicable law, the Software is provided “as is”, without any further warranty of merchantability, fitness for a particular purpose or non-infringement.

We do not warrant that the Software will be error-free, that it will be compatible with every RouterOS version or device model, or that its operation will be uninterrupted. The Software configures live network equipment; a bulk operation applied to a production network can interrupt it. You are responsible for testing changes, for keeping device backups, and for deciding what to apply to production.

Nothing in this Section limits any statutory warranty rights a consumer has under mandatory law.

A10. Limitation of liability

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Software and this Agreement is limited to the amount you actually paid for the licence in the 12 months preceding the event giving rise to the claim. For the Community tier, that amount is zero.

We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of data, or network downtime, however caused.

These limitations do not apply to liability that cannot be excluded under mandatory law — in particular liability for damage caused intentionally, for death or personal injury, and consumers’ statutory rights.

A11. Term and termination

A paid licence is perpetual and does not expire. It terminates in the following cases only:

  • Material breach. You breach this Agreement — in particular by circumventing the licensing mechanism, exceeding the device limit deliberately, or redistributing the Software — and fail to remedy the breach within 30 days of written notice.
  • Payment reversed or refunded. The payment for the licence is refunded, charged back or otherwise reversed. The licence then ceases to be valid on the date the funds are returned, and any use of the Software beyond the Community limits after that date is unlicensed.
  • Licence obtained on false particulars. The licence was obtained by giving materially false information at checkout — in particular a false country, place of establishment or identity — or in circumvention of Section B2. We may declare such a licence void, and we will refund the payment when we do so.

On termination you must stop using the Software and remove it from your systems. Licences are validated offline: we do not revoke keys remotely, and an installation that is already running may continue to run. A terminated licence key may additionally be rejected by later builds — on a fresh installation, or when the key is re-entered, such a key may not activate and the Software may fall back to the Community tier. Continued technical operation of a terminated licence does not make its use lawful.

You may stop using the Software at any time. Termination by you does not entitle you to a refund, except as provided in Part B or under mandatory law.

A12. Third-party components and trademarks

The Software incorporates third-party open-source components, each governed by its own licence. Those licences prevail over this Agreement in respect of the components they cover.

MikroTik and RouterOS are trademarks of SIA Mikrotikls. The Software is an independent product and is not affiliated with, endorsed by, or sponsored by SIA Mikrotikls.

Part B — Terms of Sale

B1. Scope

This Part applies to purchases of paid licences and update renewals made through mikr.app. It does not apply to the Community tier, which is free of charge.

B2. Conclusion of the contract

The prices and tiers shown on our pricing section are an invitation to purchase. The contract is concluded when you complete the checkout and we confirm the payment. Immediately afterwards, the licence key is sent to the e-mail address you provided.

Check that e-mail address carefully — it is the only channel through which the key is delivered, and it is the address from which we can later re-issue it.

Eligibility, and our right to refuse a sale. Completing a payment does not by itself oblige us to supply a licence. We may decline any order, and refund it in full, at our discretion and without stating a reason — in particular where we do not serve the purchaser’s jurisdiction, where supply would or might conflict with export-control or sanctions rules applicable to us as a Polish business, or where the particulars given at checkout appear false.

By completing an order you confirm that the country, company details and identity you enter are true and complete, and that you are not acquiring the licence on behalf of an undisclosed third party in a jurisdiction we do not serve. A licence obtained in breach of this paragraph is void under Section A11, and the payment for it is refunded.

B3. Prices, payment and currency

All prices are stated in euro (EUR). Payment is processed by Stripe Payments Europe, Ltd. — we never see or store your card details. Available payment methods are those Stripe presents at checkout.

Prices for paid licences are one-time. Update renewals are billed per period and only when you choose to renew; there is no automatic subscription, and nothing is charged to you without an explicit purchase.

B4. VAT and invoicing

An invoice is issued automatically for every purchase, on the company or personal details you enter at checkout. VAT treatment follows the place-of-supply rules:

  • Polish business or individual — 23% Polish VAT.
  • Business in another EU member state with a valid VAT-UE number — reverse charge; the invoice is issued without VAT and you account for it in your own country.
  • Outside the EU — no Polish VAT, as an export of services.

Enter your VAT/NIP number at checkout if you need it on the invoice. We cannot retroactively change the tax treatment of an invoice once issued if the number was not provided at the time of purchase.

B5. Delivery

Delivery is electronic and immediate: the licence key is sent by e-mail as soon as payment is confirmed. The Software itself is distributed as a Docker container image and is available for download independently of the purchase, as described in the installation documentation.

If the key does not arrive within one hour of payment, check your spam folder and then write to ihor@hreskiv.pl.

B6. Right of withdrawal (consumers)

If you are a consumer resident in the European Union — that is, you are purchasing outside your trade, business or profession — you normally have 14 days to withdraw from a distance contract without giving a reason.

For digital content, that right can be lost — but only where the purchaser has given express prior consent to delivery before the withdrawal period ends and has acknowledged that the right is thereby lost (Art. 16(m) of Directive 2011/83/EU, Art. 38(13) of the Polish Consumer Rights Act).

Our checkout does not ask for that consent, and we do not rely on the exception. Your 14 days therefore run in full, even though the licence key reaches you immediately after payment.

To withdraw, write to ihor@hreskiv.pl within 14 days of the purchase. No reason is needed. We refund the payment by the same means you used, without undue delay, and the licence ceases to be valid on the date the funds are returned (Section A11).

Business purchasers do not have a statutory right of withdrawal.

B7. Refunds outside the withdrawal right

If the Software does not work in your environment and we cannot resolve it, write to ihor@hreskiv.pl and describe the problem. We handle such cases individually and in good faith. This is a commercial commitment, not a statutory one, and it does not affect your rights under Section B6 or under mandatory law.

Note that a free Community tier exists precisely so that the Software can be evaluated at no cost, and with full functionality, before any purchase.

What a refund means for the licence. Whenever a payment is refunded, charged back or otherwise reversed — under Section B6, under this Section, or on our own initiative under Section B2 — the licence bought with it ceases to be valid on the date the funds are returned, as set out in Section A11. From that date the installation may be used only within the Community limits. Keep this in mind before requesting a refund for a licence you are still running.

B8. Complaints

Complaints may be submitted to ihor@hreskiv.pl. We will respond within 14 days of receipt. Please include your licence key or the e-mail address used at purchase, and a description of the issue.

Consumers in the EU may also use the European Commission’s online dispute resolution platform. Nothing here obliges us to participate in an out-of-court dispute-resolution procedure.

B9. Governing law and jurisdiction

These documents are governed by Polish law. For business purchasers, the courts competent for the seat of the Licensor (Kraków, Poland) have exclusive jurisdiction.

For consumers, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings before the courts of that country.

B10. Changes to these documents

We may update these documents. The current version, with its date, is always available on this page. Changes are not retroactive: the version in force at the moment of your purchase governs that purchase, and no later change can reduce the rights of a licence already granted.

B11. Severability

If any provision of these documents is found invalid or unenforceable, the remaining provisions stay in force, and the invalid provision is replaced by a valid one that comes closest to its commercial intent.
